Job Description
Purpose:
The incumbent is responsible for developing and executing investor relations programs that accurately and effectively reflect the Company, educating and updating investors to support achievement of a fair relative stock value.
Essential Duties:
• Leads the collection, analysis, and presentation of feedback from various sources regarding investor’s perceptions and opinions, brokerage security analyst positions and summaries, relative stock price movements, and periodic ownership analysis and provides and presents the information to senior leaders and the Board of Directors in written and oral format.
• Provides competitive intelligence from Wall Street and the internet to the company leaders as appropriate.
• Leads the investor relations program, including strategy (linked to the company’s strategy), operating plan, budget, and detailed execution of the operating plan.
• Collaborates with business leaders on communication and media strategy, business plan, key messages, integration and consistency of messages and efforts, product sharing, and support to operating employees for strategic communication.
• Speaks on behalf of the company at investment presentations, institutions, and with the media and provides senior speaker preparation and development for same. Creates value driver based investment messages in collaboration with selected members of the Senior Team.
• Educates and updates investors and analysts.
• Keeps shareholders knowledgeable about the company (and implicitly encourages them to buy and hold). Supports investors decision making processes through visits to institutions, individual meetings, visits by analysts and investors to company plants, and visits with appropriate other senior leaders.
• Collaborates with CEO and CFO to support relations with debt holders, credit analysts, and rating agencies.
• Leads the effort to find, support, and encourage prospective investors by broadening awareness and interest through conferences, presentations, meetings, media, and mailings. Identifies and responds to investor targets of opportunity created by presentations, meetings, and media. Maintains database of contacts with appropriate information.
• Hosts conference calls, prepares conference call scripts and practice questions (with answers when needed), and leads practice sessions.
• Leads the use of statistical targeting to identify good fit institutional investors; contacts the analysts at those institutions to encourage interest and investment.
• Leads the establishment and maintenance of the company’s disclosure policy. Is the office of record for public disclosure to investors.
• Leads the creation and distribution of publications and electronic media:
o Annual report: theme, content, design, production, and delivery.
o Quarterly results and other news releases.
o Data book or fact book.
o Transcript of Annual Meeting of Analysts & Investors.
o Quarterly dividend news releases.
o S.E.C. filings: acts in collaboration with the CEO, Controller, and General Counsel.
o Leads the email and mail distribution of relevant company news releases, publications, and S.E.C. filings.
o Leads the IR website section and content.
o Leads the policy, establishment, and maintenance of the IR website archive of historical information for investors.
• Coordinates and leads visits by institutional investors to company headquarters and plant locations.
• Other duties as may be assigned.
Strong financial and investment analysis skills, oral and written communication skills, and presentation ability. A clear and thorough understanding of the financial modeling techniques used by security analysts to project a company's operating and financial performance and the resulting value for its stock. An in-depth understanding of the financial and investment markets, with established relationships in them, and the ability to establish new relationships in new industries quickly. An in-depth understanding of strategic communication, public relations, marketing, advertising, and the media. An outstanding reputation with the investment community, based on credibility, consistency, visibility, access, and depth and breadth of knowledge. Strong interpersonal and written and oral communication skills. Must be computer literate, to include expertise with MS Office, particularly Outlook, Word, and Excel.
